DealersOnly ("DealersOnly", "we", "us," or "our") provides access to the websites https://thedealersonly.com/ and their associated subsites. These platforms, along with the information, products, and services they offer (collectively, the "Site"), are available to you under the condition that you accept all terms, policies, and notices outlined in these Terms of Use (the "Terms"). If you are accessing the Site on behalf of a company, organization, or other entity, then: (a) "you" includes both you as an individual and the entity you represent; (b) you confirm that you have the authority to grant permissions and legally bind the entity to these Terms; (c) you accept these Terms on behalf of the entity; and (d) the entity is responsible for any violations of these Terms.

2. ACCOUNT CREATION AND RESPONSIBILITIES

Certain Site features require creating an account ("Account"). If you choose to register, you must provide accurate and current information, including a valid email address. You are responsible for all activity under your Account, including:

  • Providing and maintaining accurate and up-to-date information.
  • Keeping your login credentials secure.

4. GENERAL USER RESPONSIBILITIES

Users must comply with all applicable laws. You are responsible for your interactions on the Site and must treat other users respectfully. DealersOnly does not guarantee the conduct of any user and is not liable for user interactions or messages exchanged on the Site.

5. USER CONTENT AND LICENSING

By submitting content to the Site, you grant DealersOnly a non-exclusive, royalty-free, sublicensable right to use, reproduce, and distribute your content as necessary for Site operations.

6. SITE CONTENT & INTELLECTUAL PROPERTY

DealersOnly owns or licenses all content on the Site, except for user-submitted content. You may not copy, distribute, or modify Site content without permission.

7. RESTRICTIONS ON USE

You may not:

  • Transfer your Account without consent.
  • Use automated tools (e.g., bots, scrapers) to extract Site data.
  • Engage in unlawful or abusive behavior on the Site.
  • Attempt to disrupt Site operations or security.
8. SUBSCRIPTION SERVICES

Charges are non-refundable, even if content is removed or modified.

11. DISCLAIMERS & LIABILITY LIMITATIONS

The site and its content are provided "as is." Dealersonly disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not guarantee that the site will be error-free or uninterrupted.

In no event shall dealersonly be liable for indirect, incidental, or consequential damages arising from site use. Our maximum liability to you shall not exceed the total fees paid by you to dealersonly in the past 12 months or $100, whichever is greater.

12. INDEMNIFICATION

You agree to indemnify and hold harmless DealersOnly and its affiliates from any claims arising from your use of the Site, your Listings, or your violation of these Terms.

13. MISCELLANEOUS 
13.1 Feedback

Any feedback provided to DealersOnly may be used without obligation to you.

13.2 Amendments

We reserve the right to modify these Terms by posting updates. Continued use of the Site constitutes acceptance of changes.

13.3 Severability

If any provision is found unenforceable, the remaining Terms remain in effect.

13.4 Governing Law

These Terms are governed by U.S. and Texas law. Disputes will be resolved in Dallas County, Texas. Both parties waive the right to a jury trial.

13.5 Entire Agreement

These Terms, including our Privacy Policy, constitute the full agreement between you and DealersOnly.
